These Terms and Conditions (hereinafter, the «Terms») govern access to and use of the website makastudios.co and the services provided by Maka Solutions S.A.S., a company identified with NIT 900.744.809-9, domiciled at Cra 76A No 45C-90, El Velódromo, Medellín, Antioquia, Colombia, which operates under the registered trademark Maka Studios (hereinafter, «Maka Studios», «we»). Our services include the rental of the recording studio, soundstage and kitchen; equipment rental for in-studio and outdoor projects; and photography, audiovisual production, video editing, post-production and social media content creation services, among others.
By booking, contracting or using our services, or by browsing this website, the Client declares that they have read, understood and accepted these Terms in full, as well as the Privacy and Personal Data Processing Policy, the Cookies Policy and the Refund, Cancellation and Return Policy. If you do not agree with these Terms, you must refrain from using the services.
1. Definitions
- Studio: the physical space, soundstage, sets, kitchen and equipment of Maka Studios intended for the recording and production of content.
- Client: a natural or legal person who books, contracts or uses the services.
- Companions: the persons who enter the Studio as part of the Client’s team, production or guests.
- Session: the period of time reserved for the use of the Studio or the provision of a service.
- Rental: the hire of equipment, lights, cameras, accessories or props for use in the Studio or at external and outdoor locations.
- Capacity: the maximum number of people allowed simultaneously per Session.
- Security deposit: a sum which, where applicable, is requested to cover possible damages, losses or breaches.
- Services: the rental of the space, the kitchen and the equipment; equipment rental for external projects; technical assistance; photography; recording; video editing; post-production; social media content creation; file delivery; and other services offered by Maka Studios.
- Website: the makastudios.co portal and its subdomains.
2. Capacity and electronic acceptance
To contract the Services, the Client must be of legal age and have the legal capacity to enter into binding obligations. When the booking is made by electronic means (website, WhatsApp, email), the Client acknowledges that such expression of intent has full validity and binding force under the terms of Law 527 of 1999 on electronic commerce and data messages. By booking, the Client declares that they are of legal age, accept these Terms and assume full responsibility for the use of the Studio and the equipment.
3. Bookings and scheduling
Bookings are made through Maka Studios’ official channels: the website booking system, WhatsApp, email or the other enabled means. A booking is considered confirmed only once the corresponding payment has been made and Maka Studios expressly communicates confirmation of availability.
The Client is responsible for providing truthful, complete and up-to-date information at the time of booking, including date, time, duration, number of attendees and type of service required. Maka Studios reserves the right to reject or not confirm bookings when the information is incomplete, inconsistent or suspicious.
For security and access control reasons, the Client must report the names of their Companions in advance in order to authorize their entry. Maka Studios may request identity documents to verify the identity of those entering the Studio.
4. Prices, payments and security deposit
The current prices are those published on the website or those communicated directly by Maka Studios at the time of quotation. All amounts are expressed in Colombian pesos (COP) and include applicable taxes, unless otherwise indicated.
Confirmation of a booking or rental may be subject to payment of a deposit or the full amount, as communicated to the Client at the time of booking. Maka Studios may update its rates at any time; changes will not affect bookings already confirmed and paid.
When the nature of the service warrants it —particularly in equipment rentals—, Maka Studios may request a security deposit, the amount of which will be communicated in advance. This deposit may be applied in whole or in part to cover damages, losses, cleaning costs or breaches, and any unused balance will be returned to the Client once the condition of the Studio and equipment has been verified.
5. Cancellations, rescheduling and refunds
The conditions for cancellation, rescheduling, no-show and refund are governed by the provisions of our Refund, Cancellation and Return Policy, which forms an integral part of these Terms.
6. Use of the Studio
6.1 Hours, setup and teardown
The booking time begins and ends at the confirmed schedule. Makeup, the setup and teardown of equipment, sets and scenery are part of the production and are included within the reserved time. To avoid additional charges, the Studio and common areas must be handed over within the agreed time.
6.2 Client delays
Any delay by the Client will be deducted from the total reserved time; the Session will end at the originally agreed time, without this implying any reduction in the value of the service or any right to compensation.
6.3 Session extension (additional time)
If the Client wishes to extend their Session, they must request it as far in advance as possible in order to check availability. Once the booking end time has passed, plus a tolerance margin of five (5) minutes, the corresponding charge for the additional hour or fraction thereof will apply, subject to Studio availability.
6.4 Client presence at handover and return
The Client or their representative must be present at the time of receiving and returning the Studio, in order to jointly verify the condition of the space and the equipment.
6.5 Capacity and Companions
The Studio has a maximum capacity that will be communicated to the Client. The entry of people exceeding the capacity, or of unreported Companions, may result in additional charges or refusal of entry. The Client is responsible for the conduct of all their Companions.
6.6 Handover of the space
The Studio must be returned in the same condition, order and cleanliness in which it was handed over. The Client must remove their belongings, props, waste and trash at the end of the Session.
6.7 Cyclorama, sets, walls and floors
The Client undertakes to take care of the cyclorama, sets, walls and floors. Except with express authorization, the following are not permitted: painting the cyclorama in tones other than the original; drilling holes; hammering nails; using adhesive hooks; or physically altering walls, floors or installations. Where applicable, the use of shoe covers within the cyclorama will be mandatory, and the consumption of food or beverages on it is not permitted.
6.8 Use of the kitchen
The Studio has a kitchen that can be used as an audiovisual set or for organizing catering, and which is equipped with the appliances reported by Maka Studios (for example, refrigerator, microwave, stove, convection oven). Its use is subject to the following conditions:
- Food preparation: if the Client wishes to cook or prepare hot food (breakfasts, lunches, dinners, snacks) during the production, they must report it at the time of booking. In these cases, a deep-cleaning surcharge for the kitchen of $50,000 will apply.
- Tableware and supplies not included: unless otherwise agreed, the kitchen rental does not include tableware, dishes, cutlery, pots or utensils, nor supplies such as oil, salt or seasonings. The Client must bring everything they require.
- Hygiene and health responsibility: the Client is solely responsible for the acquisition, handling, quality and safety of the food they use, as well as for any effect on the health of attendees arising from it. Maka Studios does not participate in food preparation and assumes no responsibility whatsoever in this regard.
- Cleaning and removal: at the end, the Client must remove all food, packaging and waste, and leave the appliances and surfaces free of residue. Storing food in the refrigerator or in the kitchen is not permitted.
- Safety: the use of appliances, gas (where applicable) and installations must be done responsibly. Leaving heat sources on unattended is prohibited. Any damage arising from improper use of the kitchen will be the responsibility of the Client.
6.9 Rules of conduct and prohibitions
During the use of the Studio, the following is expressly prohibited:
- Carrying out illegal activities or those that undermine public order, morality, good customs or the rights of third parties.
- Producing content that infringes copyright or intellectual property, or that is defamatory, discriminatory, violent or contrary to the law.
- Consuming alcoholic beverages without prior written authorization, as well as consuming prohibited psychoactive substances.
- Smoking or vaping inside the premises without prior authorization.
- Handling, modifying, reconfiguring or removing equipment, wiring, panels or electrical installations without authorization from Maka Studios staff.
- Generating excessive noise that affects neighbors or third parties.
- Bringing in pets or animals without prior authorization.
- Exceeding the capacity or duration of the Session without prior agreement.
- Assigning, subletting or transferring the booking to third parties without written authorization from Maka Studios.
Breach of these rules entitles Maka Studios to terminate the Session immediately, without any right to a refund, without prejudice to legal action and the collection of any corresponding damages.
7. Liability for damage, loss or theft
The Client will be liable, personally and jointly with their Companions, for any damage, loss, theft or deterioration caused to the facilities, equipment, furniture or elements of the Studio during their Session. In such cases, the Client must pay the value of the certified repair or the commercial replacement value of the item as new on the market.
In the event of theft or robbery, the Client must immediately inform Maka Studios, file a report with the competent authority and assume the full replacement value within the following fifteen (15) business days.
8. Custody of belongings
Maka Studios does not undertake to guard or store the Client’s props, equipment or accessories. Once the Session has begun, all of the Client’s belongings will be their sole responsibility. Maka Studios is released from liability for the Client’s equipment, belongings and personnel during their stay.
9. Equipment rental (in-studio and outdoor)
Maka Studios offers the rental of equipment, lights, cameras, lenses, accessories and props, both for use within the Studio and for independent projects at external and outdoor locations. This service is subject to the following conditions:
- Requirements: for rentals involving the removal of equipment from the premises, Maka Studios may require the Client’s identity document, the signing of a contract or rental order, payment of a deposit and the provision of a security deposit.
- Handover and inventory: at the time of handover, an inventory of the condition and functioning of the equipment will be drawn up, which both parties will verify. The Client must check that the equipment works properly before taking it and accept said inventory.
- Period and return: the rental covers the agreed period, with a handover and return date and time. Late return will result in a charge for the additional days or fractions thereof according to the current rate, and may affect the security deposit.
- Liability during the rental: from handover until return, the Client is solely responsible for the custody, transport, handling and proper use of the equipment, including against weather conditions or those of the outdoor location. Maka Studios is not liable for the Client’s use of the equipment or for their loss of profit in the event of any failure.
- Damage, loss or theft outside the premises: the Client will assume the value of the certified repair or the commercial replacement value of the equipment as new. In the event of theft or robbery, they must file a report with the competent authority and immediately inform Maka Studios, assuming the replacement within the following fifteen (15) business days.
- Proper use and prohibitions: the equipment must be used in accordance with its technical specifications. Subletting, lending or assigning the equipment to third parties without written authorization from Maka Studios is prohibited. The Client is responsible for obtaining the necessary permits to record or use the equipment in public spaces or restricted-access areas.
- Return condition: the equipment must be returned clean and in the same condition in which it was handed over, with all its accessories, cables and cases.
10. Client content and image rights
The content recorded or produced by the Client is their exclusive property. Maka Studios claims no rights over such content. The Client declares and warrants that they hold the permits, licenses, image authorizations and other necessary rights over the people, brands, music and materials they use during their Session. When people appear in the content, the Client is responsible for having the corresponding authorization or assignment of image rights, and will hold Maka Studios harmless against any third-party claim.
Except with the Client’s express authorization, Maka Studios will not disclose the recorded content. Maka Studios may request the Client’s authorization to use images of the Studio or excerpts of the material for promotional purposes; such use will only take place upon the Client’s prior acceptance.
11. Photography, production, editing and content services
When the Client contracts photography, production, art direction, recording, video editing, post-production or social media content creation services:
- The scope of the service corresponds to what is described in the quotation or the contracted plan. Additional production, visual strategy, creative direction or extra deliverables services may incur additional costs agreed in advance.
- Preparation will be based on the briefing provided by the Client; last-minute changes not contemplated may affect the scope, timelines or value of the service.
- The number of pieces, formats, versions or rounds of adjustments included will be as agreed; additional revisions or deliverables may be charged separately.
- The Client must deliver their products, materials or supplies in optimal condition. Delays attributable to the Client may affect the duration and value of the service.
- File delivery (RAW or edited) and delivery timelines are subject to the contracted plan. In editing and post-production services, the time the Client takes to approve or select material is not counted within the delivery timeline.
- When the Client delivers a physical product for recording or photography, they must collect it within the reported timeframe; once that period has elapsed, Maka Studios will not be liable for its custody.
12. Intellectual property of the website and the brand
«Maka Studios» is a registered trademark of Maka Solutions S.A.S. The logo, texts, images, designs, website structure and other elements are the property of Maka Solutions S.A.S. or its licensors and are protected by intellectual property and copyright laws. Their reproduction, distribution or unauthorized use is prohibited.
13. Limitation of liability and liability towards third parties
Maka Studios provides its Services with due diligence. To the maximum extent permitted by law, Maka Studios will not be liable for indirect damages, loss of profit or loss of opportunities arising from the use or inability to use the Services for causes beyond its control. The Client will be liable for any damage caused to third parties during the time of use of the Studio or of the rented equipment, releasing Maka Studios from non-contractual liability arising from the activity carried out by the Client. Nothing in these Terms limits the liabilities that cannot be excluded under Colombian law, including those arising from the Consumer Statute (Law 1480 of 2011).
14. Force majeure
Maka Studios will not be liable for any failure or delay in providing the Services when this is due to events of force majeure or fortuitous circumstances, such as natural disasters, widespread power or connectivity failures, disturbances, measures by authorities or health emergencies. In these cases, the corresponding rescheduling or refund will be agreed with the Client.
15. Penalty clause
In the event of a serious breach of any of the obligations established herein, the breaching party must pay the other a sum equivalent to up to one hundred percent (100%) of the value of the affected booking, rental or service, without prejudice to additional compensation for any proven damages.
16. Processing of personal data
The processing of the personal data of the Client and their Companions is governed by the Privacy and Personal Data Processing Policy, issued in compliance with Law 1581 of 2012 and Decree 1074 of 2015. By accepting these Terms, the Client declares that they are aware of said policy.
17. Third-party links
The website may contain links to third-party platforms (social media, payment gateways, booking systems). Maka Studios is not responsible for the content or policies of such third parties, which are governed by their own terms.
18. Modifications
Maka Studios may modify these Terms at any time. The current version will always be the one published on this website, with its update date. Continued use of the Services after a change implies acceptance of the modified version.
19. Dispute resolution, applicable law and jurisdiction
These Terms are governed by the laws of the Republic of Colombia. Any dispute will be sought to be resolved, in this order, through: (i) direct settlement between the parties, within a period of up to fifteen (15) business days; (ii) pre-trial conciliation before an authorized center; and (iii) failing that, the ordinary Colombian jurisdiction, with contractual domicile in the city of Medellín, without prejudice to the consumer protection mechanisms provided for by law.
